TERMS OF SERVICE AND SUBSCRIPTION AGREEMENT — METAMORFON

1. Publisher

2. Purpose
These Terms of Service and Subscription Agreement (hereinafter “Terms”) govern access to and use of the Metamorfon desktop application (hereinafter “the Service”), a multi-agent dialogue orchestration tool that enables the comparison and synthesis of responses from multiple third-party artificial intelligence models.
By using the Service, you agree to these Terms without reservation.
3. Service Description
Metamorfon is currently available as a desktop application for Windows. A macOS version is in development. Metamorfon enabeles users to orchestrate structured sessions involving multiple language models (LLMs) from third-party providers (OpenAI, Anthropic, Google, Mistral, Deepseek, xAI, Cohere, etc.).
BYOK Model (Bring Your Own Key): Users provide their own API keys obtained from AI model providers. These keys are stored locally on the user’s device and never transmitted to the publisher’s servers. Users are solely responsible for their API keys and any costs incurred with their providers.
The publisher provides exclusively the orchestration software and associated authentication services.
4. Account Creation and Access
Access to the Service is restricted to individuals of legal age or duly authorized legal entities.
Users create an account by providing a valid email address and password. Users are solely responsible for maintaining the confidentiality of their credentials.
The publisher reserves the right to deny access or close an account in the event of a breach of these Terms.
5. Free Trial
A 14-day free trial is available to all new users. Registration of a valid payment method is required to access the trial.
Upon expiration of the trial period, the subscription selected at registration is automatically activated and billing begins, unless the user cancels before the end of the trial period.
The free trial is granted once per person and per entity.
6. Pricing and Billing
Prices in effect at the time of subscription are:
All prices are in euros. VAT is applied in accordance with applicable regulations based on the user’s location.
Billing is managed by Stripe, Inc. (third-party payment provider). Users accept Stripe’s terms of service at the time of subscription.
The publisher reserves the right to modify pricing with 30 days’ notice by email. Users who do not accept the new pricing may cancel their subscription before the new pricing takes effect, at no charge.
7. Term, Renewal and Cancellation
Subscriptions are entered into for a period of one month (monthly plan) or one year (annual plan) and are automatically renewed by tacit agreement.
Users may cancel their subscription at any time through their account settings or via the Stripe billing portal. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued, except as required by applicable law.
The publisher may terminate a subscription with 30 days’ notice in the event of cessation of business, or immediately in the event of a material breach of these Terms.
8. Right of Withdrawal (EU Consumers)
In accordance with applicable EU consumer law, the right of withdrawal does not apply to digital content services where execution has begun, with the consumer’s prior express consent, before the expiry of the 14-day withdrawal period.
By subscribing to Metamorfon and requesting immediate access to the Service, the user expressly acknowledges waiving their right of withdrawal.
Note: this clause applies to paid subscriptions outside the trial period. Users may cancel during the trial period at no cost.
9. Acceptable Use
Users agree to:
- use the Service in compliance with all applicable laws and regulations;
- not use the Service to generate illegal, defamatory, or infringing content;
- not attempt to circumvent access control or licensing mechanisms;
- not resell, sublicense, or share their access with third parties.
Use of the Service is authorized on a maximum of 3 devices per account. Any excess may result in access being restricted, with notice to the user.
10. Intellectual Property
The Metamorfon software, its architecture, components, documentation and graphic elements are the exclusive property of the publisher and protected by applicable intellectual property laws.
Users retain full ownership of the data they input (prompts, sessions, exports) and the API keys they provide within the application.
11. Limitation of Liability
The publisher shall not be liable for:
- the results, outputs or content generated by third-party AI models orchestrated through the Service;
- API usage costs incurred by the user with third-party providers;
- temporary interruptions to the Service due to maintenance, force majeure, or technical failures beyond the publisher’s control;
- loss of data where the user does not maintain backups of local sessions.
The Service is provided “as is.” The publisher will use its best efforts to ensure Service availability, without guaranteeing any specific uptime level.
12. Personal Data Protection
The publisher collects and processes the following data in connection with the Service:
Data is hosted on servers located within the European Union. It is retained for the duration of the subscription and for 12 months after cancellation, then deleted.
Users have the right to access, rectify, delete, and port their personal data, as well as the right to object to processing, by submitting a request to: contact@metamorfon.com.
Users located in the EU may lodge a complaint with their national data protection authority (in France: CNIL — www.cnil.fr).
13. Amendments to the Terms
The publisher reserves the right to modify these Terms at any time. Any modification will be notified by email with 30 days’ notice. Continued use of the Service after that period constitutes acceptance of the updated Terms.
14. Governing Law and Jurisdiction
These Terms are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution before initiating legal proceedings. Failing agreement, the competent court shall be that of the publisher’s registered seat, subject to any mandatory provisions applicable to consumers.
